Terms of Service

Introduction

This is an agreement between you and Nova Technologies Limited, a company registered in England and Wales under company number 15446235 whose registered office is at 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ; (referred to as "GoContent" "we", or "us"), and it is a legally binding contract. The agreement outlines the Terms of Service and governs your use of the services.

It is important that you read this agreement carefully and understand each provision before accessing or using the services.

This agreement will become valid once you click the "I accept" button or access and use the services, which is referred to as the "effective date". By clicking the "I accept" button or accessing and using the services, you (a) acknowledge that you have read and understand the agreement, (b) declare and guarantee that you have the right, authority, and power to enter into this agreement and, if entering into this agreement on behalf of an organisation, that you have the legal authority to bind the organisation, and (c) accept the Terms of this agreement and agree to be legally bound by them.

Service

GoContent is an artificial intelligence technology company that helps individuals and companies create some content and articles.

Before using the Services, you must read and agree to the Terms of this Agreement, which constitutes a legally binding contract between you and GoContent. If you do not agree with these Terms, you may not use the Services.

To use the Services, you must be able to enter into a binding contract with GoContent, and you must comply with all applicable laws and regulations, both locally and globally.

Subscriptions

To use the Services or some of its features, GoContent charges a fee, and you are required to make the necessary payment as agreed upon.

Upon purchasing a subscription for the Services, you give us explicit permission (or our third-party payment processor) to charge you for the subscription fee. We may request additional information relevant to your subscription, such as your credit card number, expiry date, email address, and postal address for billing and notification purposes (collectively referred to as "Payment Information"). You represent and guarantee that you have the legal right to use all payment methods associated with any Payment Information.

By initiating a subscription, you authorised us to disclose your Payment Information to third parties to facilitate the transaction relating to your subscription and to charge your payment method for the selected subscription type (along with any applicable taxes and charges). Before completing your subscription, you may be required to provide additional information to verify your identity, which is also included in the definition of Payment Information.

By initiating a subscription, you agree to the pricing, payment, and billing policies associated with the fees and charges, as posted or otherwise communicated to you. All subscription payments are non-refundable and non-transferable, unless expressly stated in these Terms. All fees and taxes, if applicable, must be paid in USD.

If you choose to use certain features of the Services that require payment, you agree to our Pricing and Payment Terms available at https://www.gocontent.ai/pricing, which we may update periodically. GoContent reserves the right to introduce new paid services and fees, or modify existing fees, at our sole discretion. Any changes to our Pricing and Payment Terms will become effective in the billing cycle following notice to you as outlined in this Agreement.

Refunds

You have the option to cancel your Customer Account anytime, but please note that there will be no refunds for such cancellations. If GoContent terminates or suspends your Customer Account or this Agreement, you acknowledge and agree that you will not receive any refunds or exchanges for unused subscription time, license or subscription fees for any part of the Services, any content or data associated with your Customer Account, or any other item.

Free Trials

We, or our third-party service providers, may offer free trials for certain Services. If you choose to sign up for a free trial, you may be required to provide payment information. At the end of the free trial period, we or our third-party service provider will automatically charge your payment method for the subscription, unless you cancel before the trial ends. You will not receive any notification when the free trial ends and the subscription begins. To avoid being charged, you must cancel your subscription before the end of the trial period, by midnight (GTM-04:00 - New York) on the last day of the trial. If you cancel your subscription during the free trial, the cancellation may take effect immediately.

If you subscribe to our services, the corresponding fees will renew automatically every month at the rate set forth in your user account or on the checkout page, unless you notify us of your cancellation. You can cancel your subscription by submitting a notice on your settings page or in writing to [email protected]. Your cancellation will be effective in the month following the month you provide us with notice. You understand that your subscription and all corresponding fees will automatically renew unless you notify us of your cancellation, and you authorise us or our authorised third-party payment provider to charge you the applicable subscription fees and any taxes using any eligible payment method we have on record for you, without notice to you, unless required by applicable law.

No use by Minors

The service is exclusively intended for individuals who are at least eighteen (18) years old to access and utilize. Upon accessing or utilizing any of the Company's services, you affirm and declare that you are at least eighteen (18) years old and possess the complete authority, right, and capability to enter into this agreement and adhere to all the terms of service outlined in the Terms. Should you be under the age of eighteen (18), you are barred from accessing and using the service.

Account

Upon registering an account with us, you assure that you are over the age of 18 and that the details you furnish are truthful, comprehensive, and up to date consistently. Any information that is found to be incorrect, incomplete, or outdated could lead to the prompt suspension of your account on the Service.

The use of GoContent Services requires the creation of an online account. If you create a Customer Account on behalf of an organisation, company, or other entity, you and that entity are included in the term "you." You are responsible for the accuracy of the information provided and agree to update their information or promptly notify GoContent of any changes affecting their situation. You take all necessary measures to maintain the confidentiality of access to their account. We recommend that you use "strong" passwords, including a combination of upper and lower case letters, numbers, and symbols.

In the event of fraudulent use of their account, You agree to immediately notify GoContent and to promptly change their access password. The costs resulting from such unauthorised use will be the responsibility of you until they have notified GoContent of such use. GoContent will not be liable for any material or immaterial damages resulting from the use of the account by a third party, with or without your authorisation.

You may change the settings on your settings page to control your Customer Account profile and how you interact with the Services. By providing your email address to GoContent, you consent to receive Service-related notices through email instead of postal mail as required by law. We may also use your email address to send you other messages, such as updates to the Services and special offers. If you do not want to receive such messages, you may change your preferences or opt out in your settings page. Opting out may prevent you from receiving email messages regarding updates, improvements, or offers.

Termination

GoContent may, at its sole discretion and without notice, temporarily suspend or permanently terminate access to any portion or all of the Services for any reason or no reason, including but not limited to if GoContent determines that. There is a threat or attack on any of the GoContent; Use of the GoContent by the Customer or any other Authorised User disrupts or poses a security risk to the GoContent or to any other customer or vendor of GoContent; The GoContent is being used for fraudulent or illegal activities by the Customer or any other Authorised User.

We reserve the right to modify the Services or discontinue providing the Services or certain features without prior notice to you or other users. We may also impose limits on your use of the Services. In our sole discretion, we may suspend or terminate your access to the Services, without liability or notice, for any reason including if we determine that you have violated any Terms of this Agreement or for no reason at all. If your access to the Services is terminated, you will still be bound by this Agreement.

Copyright Policy

All programs, services, processes, designs, software, technologies, trademarks and trade names, inventions appearing on the Site, accessible through the Site or through GoContent Services are the property of GoContent or its licensors.
The User agrees not to use, in any way whatsoever, the Site, the Services, or any of the elements mentioned above for purposes other than those provided for in these Terms of Service.

Disclaimer of Warranty

The Services are offered on an "as is" and "as available" basis. Your use of the Services is entirely at your own risk. To the maximum extent permitted by applicable law, the Services are provided without any warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. No advice or information, whether oral or written, obtained from GoContent or through the Services, will create any warranty not expressly stated in these Terms.

GoContent, its subsidiaries, affiliates, and licensors do not warrant that the content is accurate, reliable, or correct; that the Services will meet your requirements; that the Services will be available at any particular time or location, uninterrupted or secure; that any defects or errors will be corrected; or that the Services are free of viruses or other harmful components. Any content resulting from or downloaded or obtained through the use of the Services is downloaded and used at your own risk. You will be solely responsible for any liability arising therefrom, to the extent not expressly set forth otherwise herein, including any damage to your computer system or mobile device or loss of data that results from such download or your use of the Services.

Limitation of Liability

Unless prohibited by law, you agree to indemnify us, along with our officers, directors, employees, and agents, against any form of indirect, punitive, exceptional, incidental, or resulting damages, regardless of how they arise (including legal fees, as well as any associated costs and expenses incurred during litigation and arbitration, whether during trial or appeal, if applicable, irrespective of whether litigation or arbitration proceedings have been initiated). This includes damages resulting from contractual breach, negligence, or any other wrongful act, or that stem from or are related to this agreement.

This encompasses claims related to personal injury or property damage, arising from this agreement and any violation by you of federal, state, or local laws, statutes, rules, or regulations. This holds true even if the company was previously informed of the potential for such damages. To the extent permitted by law, if the company is found liable, the liability will be restricted to the amount paid for the products and/or services, and under no circumstances will consequential or punitive damages be applicable. In some states where the exclusion or limitation of punitive, incidental, or consequential damages is not permissible, the aforementioned limitation or exclusion might not apply to you.

Governing Law

These Terms will be governed by and interpreted in line with the laws of England and Wales, regardless of any conflicting legal principles.

Should we fail to enforce any particular right or provision outlined in these Terms, it will not imply a waiver of those rights. In the event that a court deems any provision of these Terms as invalid or unenforceable, the remaining provisions will still hold their validity. These Terms constitute the comprehensive agreement between us concerning our Service, superseding and taking precedence over any prior agreements that may have existed between us regarding the Service.

Mandatory Arbitration of Disputes

Both parties hereby acknowledge that any disagreement, claim, or dispute arising from or related to these Terms, including but not limited to their violation, cessation, enforcement, interpretation, validity, or the utilization of the Services (collectively referred to as "Disputes"), shall be exclusively resolved through binding individual arbitration. This resolution mechanism excludes participation in a collective, representative, or amalgamated action or legal proceeding. You and GoContent mutually consent to the application of the U.S. Federal Arbitration Act as the guiding law for the interpretation and enforcement of these Terms. Additionally, both parties relinquish their entitlement to a trial by jury and any involvement in a class action. This arbitration stipulation will remain in force even following the termination of these Terms.

Should we fail to enforce any particular right or provision outlined in these Terms, it will not imply a waiver of those rights. In the event that a court deems any provision of these Terms as invalid or unenforceable, the remaining provisions will still hold their validity. These Terms constitute the comprehensive agreement between us concerning our Service, superseding and taking precedence over any prior agreements that may have existed between us regarding the Service.

Conducting Arbitration and Arbitration Rules

The arbitration process shall be administered by the American Arbitration Association ("AAA") in accordance with its prevailing Consumer Arbitration Rules (referred to as the "AAA Rules"), except where altered by these Terms.

Both parties concur that the arbitrator will possess sole jurisdiction over addressing all matters pertaining to the elucidation, relevance, enforceability, and scope of this arbitration agreement.

Class Action Waiver

Both you and GoContent mutually acknowledge that any claims brought against each other shall be exclusively pursued in your respective individual capacities, without the involvement of either party as a plaintiff or class member in any alleged class or representative action. Moreover, in the event that a Dispute between the parties is resolved through arbitration, the arbitrator is prohibited from merging the claims of another individual with your own and is precluded from overseeing any variety of representative or class-based proceedings. Should this particular provision be determined unenforceable, the entire Dispute Resolution segment shall be rendered invalid.

Severability

Except for the clauses outlined within the "Class Action Waiver" section of these Terms, in the event that an arbitrator or court with appropriate authority determines any portion of these Terms to be unenforceable or invalid, the remaining sections of these Terms shall remain in effect.

Changes to Terms of Service

We reserve the right to modify these Terms or the Services at any time, in our sole discretion. If we make any changes, we will notify you by posting the updated Terms on the Site and/or through other means of communication. It's important that you review the Terms whenever we update them. Your continued use of the Services after we post the updated Terms signifies your acceptance and agreement to the changes.

If you don't agree to be bound by the changes, you may no longer use the Services. Our Services are subject to evolution over time, and therefore, we may modify or discontinue all or any part of the Services, at any time, and without prior notice, at our sole discretion.
